Penn Plastics, Inc. CONFIDENTIAL DISCLOSURE AGREEMENT The purpose of this Agreement is to protect the proprietary property rights of __________ (hereinafter" Inventor") to its products, designs, and processes. These proprietary rights concern the following: ________ Therefore Penn Plastics, Inc. (hereinafter "Penn") shall take possession of written and/or electronic documents regarding these proprietary rights in strict confidence for the purpose of professional review and analysis. Penn shall not disclose the information supplied by the Inventor without prior written approval. Penn shall not use such information other than for review and analysis for the benefit of the Inventor. This agreement shall be in effect for a period of one year, or until the information is publicly disclosed or becomes public knowledge, disclosed to Penn by a third party which is entitled to such information, or unless such information was previously in the possession of the Penn. Penn agrees to return any documents disclosed by Inventor immediately upon request. In the event any legal action is necessary to enforce the terms of this agreement, attorney fees and legal costs shall be paid to the prevailing party. Any action to enforce this Agreement, the terms of this Agreement, or any action related to the relationship between the parties to this Agreement, shall be conducted in the County of Fairfield, Connecticut and according to its laws.
